Summary. Environmental compliance runs on permits, and a permit is both a shield and a trap: operating within its terms is a complete defense to most enforcement, and operating outside them is a strict liability violation regardless of whether any harm occurred. The two dominant programs — the Clean Air Act and the Clean Water Act — share an architecture in which the federal government sets standards, states administer permits under delegated authority, and private citizens may sue to enforce. NEPA operates differently, imposing a procedural obligation on federal agencies to study environmental effects before acting, and it has become the principal battleground over infrastructure and energy projects. This article covers the permitting programs a facility actually encounters, the compliance obligations that follow, the enforcement architecture including citizen suits, and the diligence and disclosure that transactions require.


Environmental law is unusual among regulatory regimes in that the government rarely has to prove anyone did anything harmful. It has to prove the terms of a permit and a deviation from them. A facility that exceeded a permitted emission limit for four hours has violated the Clean Air Act whether or not a single person breathed anything different, and the daily penalty runs from the date of the exceedance.

That structure — strict liability, self-reported data, per-day penalties, and a private right of action — makes environmental compliance an unusually documentation-driven practice. The facility's own monitoring reports are the government's evidence, and the compliance record is built or lost in the ordinary operation of the plant rather than in any legal proceeding.

The Clean Air Act

The architecture

EPA sets National Ambient Air Quality Standards under 42 U.S.C. § 7409 for six criteria pollutants: particulate matter, ozone, carbon monoxide, sulfur dioxide, nitrogen dioxide, and lead. Areas are designated attainment or nonattainment for each.

States implement through a State Implementation Plan under § 7410, submitted to EPA for approval. The SIP is federally enforceable once approved, which means state-law requirements become federal obligations enforceable by EPA and by citizens.

Preconstruction permitting: New Source Review

Before constructing a new major source or making a major modification to an existing one, a facility must obtain a preconstruction permit. Which program applies depends on the area's attainment status.

Prevention of Significant Deterioration, §§ 7470–7492, applies in attainment areas. Requirements include Best Available Control Technology determined case by case, an air quality analysis demonstrating the source will not cause or contribute to a violation of a NAAQS or a PSD increment, and public participation.

Nonattainment NSR, §§ 7501–7515, applies in nonattainment areas and is stricter. It requires the Lowest Achievable Emission Rate — the most stringent limit in any SIP or achieved in practice, with no cost consideration — and emission offsets, meaning reductions from other sources at a ratio greater than one to one. Offsets must be obtained, and in heavily nonattainment areas they are expensive and sometimes unavailable, which functions as a de facto cap on new industrial development.

What counts as a major modification is the most litigated question in the Act. A physical change or change in the method of operation resulting in a significant net emissions increase triggers review. Routine maintenance, repair, and replacement is excluded — and the boundary of that exclusion generated the decade-long NSR enforcement initiative against the power sector. Environmental Defense v. Duke Energy Corp., 549 U.S. 561 (2007), held that EPA may define "modification" differently under the PSD program than under the NSPS program, rejecting the argument that the terms must be construed identically.

Operating permits: Title V

Title V, §§ 7661–7661f, requires major sources to hold an operating permit that consolidates all applicable requirements into a single document. The permit does not itself impose new substantive limits; it collects existing ones and adds monitoring, recordkeeping, and reporting.

Key features:

  • Semiannual monitoring reports and an annual compliance certification signed by a responsible official, certifying compliance based on information and belief formed after reasonable inquiry. A false certification is a serious matter, and it is signed personally.
  • The permit shield, § 7661c(f): compliance with the permit is deemed compliance with the applicable requirements identified in it. This is the practical value of Title V and the reason the application should be exhaustive about what applies.
  • Deviation reporting, including prompt reporting of any deviation from permit terms.
  • Renewal every five years.

Technology standards

New Source Performance Standards under § 7411 for categories of new sources, at 40 C.F.R. Part 60. Note that § 7411(d) governs existing sources for pollutants not otherwise regulated, and it is the provision at issue in the greenhouse gas rules — West Virginia v. EPA, 597 U.S. 697 (2022), applied the major questions doctrine to invalidate the generation-shifting approach of the Clean Power Plan.

National Emission Standards for Hazardous Air Pollutants under § 7412 for the 180-odd listed hazardous air pollutants, at 40 C.F.R. Parts 61 and 63. The standard is Maximum Achievable Control Technology, and the floor is set by the best-performing existing sources. Section 7412(r) separately imposes the Risk Management Program for facilities handling threshold quantities of listed substances, with a general duty clause reaching even unlisted hazards.

The Clean Water Act

The prohibition

Section 301, 33 U.S.C. § 1311, prohibits the discharge of any pollutant from a point source into navigable waters except in compliance with a permit. Every element is defined and every element is litigated.

NPDES permits

Section 402, 33 U.S.C. § 1342, establishes the National Pollutant Discharge Elimination System. Most states are authorized to administer it.

Permits contain:

  • Technology-based effluent limitations derived from national effluent limitation guidelines for the industry category — BPT, BCT, and BAT for existing sources, and NSPS for new ones.
  • Water quality-based effluent limitations where technology-based limits are insufficient to meet the receiving water's quality standards.
  • Monitoring and reporting, including Discharge Monitoring Reports submitted regularly.

The DMR system is the reason Clean Water Act enforcement is unusually straightforward: the permittee reports its own exceedances, and those reports are admissions. Citizen suit plaintiffs read them.

Stormwater is separately permitted under § 1342(p) — construction sites above an acreage threshold, industrial facilities in listed categories, and municipal separate storm sewer systems. Most coverage is obtained under a general permit by filing a notice of intent and preparing a stormwater pollution prevention plan. Construction stormwater violations are among the most commonly cited in the entire program because the obligation attaches to any site over an acre and many contractors do not know it exists.

Pretreatment standards under § 1317 apply to indirect dischargers sending wastewater to a publicly owned treatment works.

Spill prevention under the SPCC rule, 40 C.F.R. Part 112, applies to facilities storing oil above threshold quantities.

Section 404 and the jurisdictional question

Section 404, 33 U.S.C. § 1344, requires a permit from the Army Corps of Engineers for the discharge of dredged or fill material into waters of the United States, including wetlands. Individual permits require an alternatives analysis under the § 404(b)(1) guidelines; nationwide permits cover categories of minor activity.

The scope of "waters of the United States" has been litigated for decades. Rapanos v. United States, 547 U.S. 715 (2006), produced no majority. Sackett v. EPA, 598 U.S. 651 (2023), resolved it: the Act extends to wetlands only where they have a continuous surface connection to a relatively permanent body of water connected to traditional interstate navigable waters, such that the wetland is indistinguishable from that water. This substantially narrowed federal jurisdiction, and the agencies conformed the regulatory definition in response.

The practical consequences: many wetlands previously requiring a federal permit no longer do; state wetland programs, which in several states are broader than the federal one, now carry more weight; and a jurisdictional determination from the Corps — appealable under United States Army Corps of Engineers v. Hawkes Co., 578 U.S. 590 (2016) — remains a valuable early step.

Section 401 gives the state where the discharge originates authority to certify that a federally licensed activity will comply with state water quality requirements, or to deny certification and thereby block the federal permit. This has become a significant tool in pipeline and energy project disputes.

County of Maui v. Hawaii Wildlife Fund, 590 U.S. 165 (2020), held that a permit is required where a discharge to groundwater is the functional equivalent of a direct discharge to navigable waters, adding a multi-factor inquiry that has proved difficult to apply.

NEPA

The National Environmental Policy Act, 42 U.S.C. §§ 4321–4370m, is different in kind. It imposes no substantive standard. It requires that a federal agency study and disclose the environmental effects of a proposed major federal action significantly affecting the quality of the human environment before acting.

Robertson v. Methow Valley Citizens Council, 490 U.S. 332 (1989), states the principle plainly: NEPA prescribes the necessary process, not a particular result. An agency that fully studies the consequences and proceeds anyway has complied.

The levels of review

Categorical exclusion — a category of action an agency has determined normally has no significant effect. The vast majority of federal actions.

Environmental assessment — a concise analysis producing either a finding of no significant impact or a determination that an EIS is required.

Environmental impact statement — the full document: purpose and need, alternatives including the no-action alternative, the affected environment, environmental consequences, and mitigation. Draft EIS, public comment, final EIS, and a record of decision.

The two changes that matter now

The 2023 Fiscal Responsibility Act amendments codified substantial reforms: a one-year deadline for environmental assessments and two years for environmental impact statements, page limits of 75 and 150 (300 for extraordinarily complex actions), a designated lead agency with authority to coordinate, a project sponsor's right to prepare the document under agency supervision, and a mechanism for a sponsor to seek a court order compelling action on a missed deadline.

Seven County Infrastructure Coalition v. Eagle County, 605 U.S. ___ (2025) substantially narrowed the required scope of analysis, holding that courts owe substantial deference to an agency's decisions about the depth of its NEPA review and that an agency need not analyze the environmental effects of separate upstream or downstream projects that are outside its regulatory authority. This reversed a long trend toward ever-expanding indirect-effects analysis and is the most consequential NEPA decision in decades.

Separately, the Council on Environmental Quality's government-wide NEPA regulations were rescinded in 2025 following Marin Audubon Society v. FAA, 121 F.4th 902 (D.C. Cir. 2024), which questioned CEQ's authority to issue binding rules, leaving agencies to operate under their own procedures. Confirm the applicable agency procedures rather than assuming the former 40 C.F.R. Parts 1500–1508 framework applies.

Litigating NEPA

Review is under the Administrative Procedure Act, 5 U.S.C. § 706(2)(A), for arbitrary and capricious action. The claim is procedural: the agency failed to take a hard look, failed to consider a reasonable alternative, improperly segmented a project, or relied on a categorical exclusion that did not fit.

Standing requires a concrete injury to a plaintiff's use and enjoyment — Lujan v. Defenders of Wildlife, 504 U.S. 555 (1992), and Friends of the Earth, Inc. v. Laidlaw Environmental Services (TOC), Inc., 528 U.S. 167 (2000).

Remedy is typically vacatur and remand for further analysis, and injunctive relief is not automaticWinter v. Natural Resources Defense Council, Inc., 555 U.S. 7 (2008), and Monsanto Co. v. Geertson Seed Farms, 561 U.S. 139 (2010), require the traditional four-factor showing.

The other statutes a facility encounters

RCRA, 42 U.S.C. §§ 6901–6992k. Cradle-to-grave management of hazardous waste. The generator makes the hazardous waste determination, and generator status — very small quantity, small quantity, or large quantity — drives accumulation time limits, manifesting, training, and contingency planning under 40 C.F.R. Parts 260–268. Land disposal restrictions in Part 268 govern treatment before disposal. Subtitle I governs underground storage tanks. Section 7002(a)(1)(B) provides a citizen suit for imminent and substantial endangerment, which reaches contamination that CERCLA does not.

CERCLA, 42 U.S.C. §§ 9601–9675. Strict, joint and several, retroactive liability for cleanup, reaching current owners and operators, past owners and operators at the time of disposal, arrangers, and transporters. The defenses in § 9607(b) are narrow, and the bona fide prospective purchaser, innocent landowner, and contiguous property owner protections all require all appropriate inquiries under 40 C.F.R. Part 312 — in practice, a Phase I environmental site assessment conforming to ASTM E1527-21, performed before acquisition, plus continuing obligations afterward.

EPCRA, 42 U.S.C. §§ 11001–11050. Emergency planning, release notification under § 11004, hazardous chemical inventory reporting on Tier II forms, and Toxic Release Inventory reporting on Form R under § 11023.

TSCA, 15 U.S.C. §§ 2601–2697, as amended by the 2016 Lautenberg Act. Premanufacture notification for new chemicals, EPA risk evaluation and risk management for existing chemicals, the § 2607(e) obligation to report substantial risk information, and the PFAS reporting rule under § 2607(a)(7), whose compliance dates have shifted repeatedly.

The Endangered Species Act, 16 U.S.C. §§ 1531–1544, principally § 1536 consultation for federal actions and the § 1538 take prohibition, with incidental take permits under § 1539.

OSHA's process safety management standard, 29 C.F.R. § 1910.119, which overlaps substantially with the Clean Air Act Risk Management Program.

Enforcement

The government

Administrative: notices of violation, compliance orders, and administrative penalty orders subject to statutory caps.

Civil judicial: referred to the Department of Justice, with per-day per-violation penalties. The statutory maximums are adjusted annually for inflation under the Federal Civil Penalties Inflation Adjustment Act, and current figures at 40 C.F.R. Part 19 exceed sixty thousand dollars per day per violation for many provisions. Multiply by the number of days and the number of parameters, and the theoretical exposure becomes very large very quickly. Penalty assessment considers the economic benefit of noncompliance plus a gravity component, and EPA uses the BEN model to compute the former.

Criminal: knowing violations under Clean Air Act § 7413(c) and Clean Water Act § 1319(c), with negligent violations criminalized under the Clean Water Act — an unusually low mens rea. Knowing endangerment provisions carry substantial prison exposure. The responsible corporate officer doctrine reaches individuals in a position to prevent the violation.

Citizen suits

Every major environmental statute contains one. Clean Air Act § 7604, Clean Water Act § 1365, RCRA § 6972, ESA § 1540(g).

The mechanics:

  • Sixty days' notice to the alleged violator, EPA, and the state, before filing.
  • The suit is barred if EPA or the state is diligently prosecuting a civil action.
  • Relief includes injunctions and civil penalties payable to the Treasury, not the plaintiff.
  • Attorney's fees to a prevailing or substantially prevailing party, which funds the practice.
  • Gwaltney of Smithfield, Ltd. v. Chesapeake Bay Foundation, Inc., 484 U.S. 49 (1987), requires an allegation of ongoing or intermittent violation — wholly past violations are not actionable.

Citizen suits are built from public data: DMRs, Title V compliance certifications, TRI filings, and EPA's ECHO database. A facility with a public record of exceedances is a target, and the sixty-day notice letter is frequently the first indication.

Managing compliance

The permit inventory

The foundational document, and many facilities do not have one. For every permit: the issuing agency, the permit number, the expiration date, the renewal application deadline, every numerical limit, every monitoring requirement with its frequency, every report with its due date, and the person responsible for each.

Renewal deadlines deserve particular attention. Most programs provide that a timely and complete renewal application continues the existing permit in effect — an administrative extension — while a late application does not, leaving the facility operating without a permit.

Self-monitoring and reporting

Build a calendar. Missed reports are the most common violation, they are entirely self-inflicted, and they are the easiest thing an inspector or a citizen plaintiff can find.

Data quality matters as much as timeliness. Calibration records, quality assurance, and chain of custody for samples are all subject to review, and falsified or unreliable data converts a reporting problem into a criminal one.

Inspections

EPA and state inspectors may enter at reasonable times under the entry provisions of each statute. Practical guidance:

  • Designate an escort and require that inspectors be accompanied at all times.
  • Take duplicate samples and photographs of everything the inspector samples and photographs.
  • Do not speculate. Employees should answer what they know and decline to guess.
  • Request a closing conference and take notes on what was identified.
  • Follow up in writing to correct any factual misunderstanding while the record is fresh.

Audits and disclosure

EPA's Audit Policy provides substantial penalty mitigation — full elimination of the gravity component — for violations that are voluntarily discovered, promptly disclosed within twenty-one days, promptly corrected, and not repeat violations, provided the discovery was not required by statute or a prior order. Economic benefit is generally not waived. The eDisclosure system handles routine submissions, and EPA maintains specific policies for newly acquired facilities that extend the disclosure window post-closing.

An environmental audit conducted under privilege presents the usual tension: the audit finds problems the company must then disclose or correct. Several states have audit privilege and immunity statutes; their scope is limited and they do not bind EPA. Structure audits with counsel, understand before starting that findings will likely need to be addressed, and treat the disclosure decision as part of the plan rather than a surprise.

Transactions

Phase I ESA conforming to ASTM E1527-21, performed before acquisition, is the price of admission to the CERCLA bona fide prospective purchaser defense — and the continuing obligations in § 9607(r) and § 9601(40) must actually be met afterward, which buyers routinely neglect.

Phase II where recognized environmental conditions are identified.

Permit transferability is not uniform. Some permits transfer automatically on notice; some require agency approval; some do not transfer at all and must be reissued, which can take months. Confirm this early, because a permit that cannot transfer can determine deal structure.

Compliance history: EPA's ECHO database, state enforcement records, DMRs, Title V certifications, and any outstanding notices of violation or consent decrees.

Environmental insurance — pollution legal liability, cost cap, and secured creditor policies — allocates residual risk where diligence cannot eliminate it.

Primary authority

A worked project: siting a manufacturing facility

The permitting sequence for a mid-sized plant, in the order the work actually happens.

Site selection, before anything is signed. Attainment status for each criteria pollutant determines whether PSD or nonattainment NSR applies, and in a severe nonattainment area the cost and availability of offsets can make a site uneconomic. Wetlands delineation determines whether a § 404 permit is needed and, after Sackett, whether the state program is the binding constraint instead. Receiving-water quality determines how stringent an NPDES permit will be — a water body already listed as impaired under § 1303(d) with a TMDL allocated may have no assimilative capacity left, which can mean no new discharge at any price.

Run this analysis before the purchase agreement, with a diligence contingency long enough to complete it.

Emissions inventory and applicability. Model potential-to-emit for every criteria and hazardous air pollutant, on a facility-wide basis. Potential to emit assumes maximum capacity operating continuously, so a facility that will never approach that level may still be a major source on paper. Federally enforceable permit conditions limiting hours, throughput, or fuel can keep a source synthetic minor — below the threshold — and avoid PSD or Title V entirely. This is frequently the single most valuable permitting decision in the project, and it constrains operations for the life of the facility, so operations and legal have to make it together.

Preconstruction permit. BACT or LAER analysis, air quality modeling, public notice, and comment. Budget nine to eighteen months in a straightforward case and longer where the project draws opposition.

Water. NPDES permit or, for a facility discharging to a municipal system, a pretreatment permit from the POTW. Construction stormwater coverage before ground is broken — a notice of intent and a SWPPP, and the SWPPP has to be implemented, not merely written.

Federal nexus check. Is there a federal permit, federal funding, or federal land involved? If so, NEPA attaches, along with ESA § 1536 consultation and National Historic Preservation Act § 106 review. A § 404 permit is the most common trigger, and it converts a private project into a federal action subject to challenge by anyone with standing.

Title V. Within twelve months of commencing operation for a major source. The application must identify every applicable requirement, because the permit shield extends only to what is in it.

RCRA, EPCRA, and SPCC on startup: generator identification number and status determination, Tier II reporting, TRI if thresholds are exceeded, and an SPCC plan if oil storage crosses the threshold.

The lesson. Nearly every constraint above is fixed by decisions made before the site is purchased. Permitting counsel engaged after the land is bought is being asked to solve a problem that was created two steps earlier.

Responding to a notice of violation

The letter arrives from a state agency or an EPA region. It identifies one or more violations, may demand information, and may propose a penalty. What happens in the next month determines the outcome.

Do not respond immediately with an explanation. Anything submitted becomes part of the enforcement record and may be an admission. Acknowledge receipt, request a reasonable extension, and take the time to establish the facts.

Establish the facts independently. Pull the monitoring data, the operating logs, the maintenance records, and the permit. Determine whether the violation occurred as alleged, whether it occurred on other dates the agency has not identified, and whether it is continuing. Counsel must know the answer before negotiating, because the worst position is one where the agency later finds violations the company denied.

Determine whether it is ongoing. A continuing violation must be stopped. Per-day penalties accrue and, separately, an ongoing violation supports a citizen suit that a wholly past violation does not.

Assess the disclosure question. If the investigation surfaces unreported violations, the Audit Policy's twenty-one-day disclosure window may be available for those the agency has not yet identified. That window is short and it closes on discovery, so the analysis has to be quick.

Prepare for the penalty discussion. Agencies compute penalties as economic benefit plus gravity. The economic benefit component — what the company saved by delaying compliance — is calculated from real numbers and is rarely negotiable in principle, though the inputs are contestable. The gravity component reflects seriousness, duration, and history, and it is where mitigation arguments land: prompt correction, cooperation, absence of environmental harm, good compliance history, and inability to pay, which requires opening the financials.

Consider a supplemental environmental project. A SEP is an environmentally beneficial project the respondent undertakes voluntarily in exchange for penalty mitigation. Availability has varied with Justice Department policy over recent administrations, and it should be confirmed rather than assumed in any given matter.

Understand what a consent decree costs. Beyond the penalty: injunctive relief specifying capital projects and deadlines, stipulated penalties for missing them, reporting obligations, and often a multi-year term with court supervision. The stipulated penalties are frequently the larger long-term exposure, and the compliance schedule should be negotiated against what the facility can actually achieve rather than what sounds cooperative.

Preserve documents. From the moment a notice arrives, ordinary destruction schedules stop. The obstruction exposure is worse than the underlying violation, and it is the one that reaches individuals.

Environmental justice and community opposition

Permitting is a public process, and the public participates. A project that treats community engagement as a compliance formality tends to discover its error at the hearing.

Where it enters the process formally. Public notice and comment on PSD, Title V, NPDES, and § 404 permits. Public hearings where requested. NEPA scoping and comment periods. State environmental review statutes — California's CEQA, New York's SEQRA, and analogues in a number of states — which impose substantive as well as procedural requirements and reach purely private projects needing a discretionary local approval. CEQA in particular is a more demanding statute than NEPA and is enforced through private litigation with fee recovery.

Cumulative impacts. Several states now require analysis of the combined burden on already-overburdened communities, and a few authorize permit denial on that basis alone — New Jersey's environmental justice law is the leading example. Where such a statute applies, siting in a designated community changes the permitting posture fundamentally.

Executive-branch policy varies with administrations, and federal environmental justice initiatives, screening tools, and enforcement priorities have expanded and contracted across recent administrations. State requirements are more durable and are the ones to plan against.

Title VI. Recipients of federal financial assistance, including state permitting agencies, are subject to 42 U.S.C. § 2000d and its implementing regulations, and administrative complaints alleging discriminatory permitting have become a recurring feature. Note that Alexander v. Sandoval, 532 U.S. 275 (2001), foreclosed a private right of action to enforce the disparate-impact regulations, leaving the administrative complaint process as the route.

What actually works for a project sponsor. Engage before the application is filed rather than after notice issues. Identify who is genuinely affected and meet them where they are. Be specific about what the facility will emit, discharge, and truck, in terms a person can evaluate. Offer enforceable commitments — permit conditions rather than promises — on the issues that matter most locally, which are usually traffic, noise, odor, and hours. And recognize that a community benefits agreement, where it is genuine, converts opponents into parties with an interest in the project proceeding.

The projects that fail on opposition are rarely the ones with the worst environmental profile. They are the ones whose sponsors were first heard from at the hearing.
