What this toolkit is for, and who should use it

Three facts organize promotions work. Prize plus chance plus consideration is a lottery, and eliminating one element is the entire design task. Compliance scales with five features — purchase linkage, total prize value, geographic scope, social amplification, and product category — and each is a marketing decision with a legal consequence. And most failures are drafting or sequencing failures, discovered at launch because compliance arrived two weeks out instead of six.

Stage 1 — The design brief for the marketing team

One page. Circulate it; it prevents more problems than any review.

Promotions: what you can design without asking, and what needs six weeks.

Green — design freely. A giveaway with no purchase or payment required, open to one state, prize under $[threshold], entrants 18+, on a platform whose current terms permit the mechanic. Send the rules for a quick review.

Yellow — bring it to legal four weeks out. Purchase-linked entry; total prize value over $[amount]; national scope; user-generated content; a skill contest; influencers.

Red — six weeks minimum, and some are not possible. Total prize value above the registration thresholds; alcohol, tobacco, cannabis, firearms, health, or financial products; international scope; anything involving minors; entry fees.

Three rules that apply to everything. 1. If entry requires a purchase or payment, the promotion must include a free alternative method of entry with equal odds, and it must appear in the advertisement, not only in the rules. 2. Total prize value — across every prize, including instant wins — determines registration. Compute it early. 3. Anyone who receives anything for posting about the promotion — an influencer, or an entrant getting a bonus entry — must clearly disclose it.

Always include the abbreviated rules block in every asset. It is in the template.

Stage 3 — Modular official rules template

The full skeleton appears in Running a Legal Sweepstakes or Contest. These are the modules most often needed and most often drafted badly.

AMOE module:

Free Method of Entry. To enter without a purchase, hand-print your complete name, street address, city, state, ZIP code, daytime telephone number, email address, and date of birth on a 3" x 5" card and mail it in a hand-addressed #10 envelope with sufficient first-class postage to: [Promotion Name] Free Entry, [address]. Free entries must be postmarked by [date] and received by [date]. Limit [n] free entries per person per day. Each free entry receives the same number of entries and has the same chance of winning as any other entry. Mechanically reproduced entries are void.

Equal-odds statement, to appear in the "How to Enter" section:

A purchase does not improve your chances of winning. Purchase entries and free entries are pooled together and each has an equal chance of being selected.

Error provision:

In the event of a printing, production, distribution, computer, human, or other error affecting the number of prizes available, the number of winning entries, or the operation of the promotion, Sponsor reserves the right to conduct a random drawing among all eligible claimants for the correct number of prizes advertised. Any game piece, code, or entry that is void, illegible, mutilated, tampered with, irregular, altered, counterfeit, produced in error, or obtained through fraud or theft confers no right to any prize. Sponsor's decisions are final and binding.

Modification and termination:

If for any reason the promotion is not capable of running as planned — including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond Sponsor's reasonable control that corrupts or affects the administration, security, fairness, integrity, or proper conduct of the promotion — Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated, and to modify, suspend, cancel, or terminate the promotion and select winners from among all eligible entries received prior to the action.

Rights-in-submissions module (for UGC):

By submitting an entry, entrant grants Sponsor a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display the entry, in whole or in part, in any media now known or later developed, in connection with this promotion and Sponsor's marketing, without further notice, compensation, or attribution. Entrant represents and warrants that the entry is entrant's original work; that it does not infringe or violate the rights of any third party; that entrant has obtained written consent from every identifiable person appearing in the entry (and from a parent or legal guardian of any such person under 18); and that any third-party material included is used with permission. Sponsor may remove or disqualify any entry it determines, in its sole discretion, to be inappropriate, offensive, infringing, or non-compliant.

Judging module (contests):

Entries will be evaluated by a panel of qualified judges selected by Sponsor on the following criteria: [Criterion A] — []%; [Criterion B] — []%; [Criterion C] — [__]%. In the event of a tie, the entry with the highest score in [Criterion A] will be selected. Judges' decisions are final and binding on all matters relating to this promotion.

Line 6 is the line sponsors get wrong, by pricing only the grand prize. Line 13 is the obligation forgotten most often, because it falls weeks after everyone has moved on.

Stage 6 — Influencer agreement clauses and entrant disclosure

Influencer agreement clauses:

Disclosure. Influencer shall clearly and conspicuously disclose the material connection between Influencer and Sponsor in every post, story, video, or other content relating to the promotion, in a manner compliant with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising, 16 C.F.R. Part 255. The disclosure shall be unavoidable — placed at the beginning of the caption or superimposed on the video, not in a profile bio, not behind a "more" link, and not buried among other hashtags. Reliance on a platform's built-in disclosure tool alone is not sufficient.

Approval. Influencer shall submit content to Sponsor for approval of the disclosure placement prior to posting.

Accuracy. Influencer shall not make any claim about the promotion, the odds, the prize, or Sponsor's products that is not contained in materials Sponsor has provided.

Takedown. Sponsor may require removal or correction of any content within [24] hours of notice.

Records. Influencer shall retain copies of all content and shall provide them on request.

Entrant disclosure instruction, to appear in the rules and in the entry confirmation:

If you post about this promotion in exchange for an additional entry, you must clearly disclose that you received something for posting. Include "#sweepstakes" and "#ad" at the beginning of your caption, where they are visible without expanding the post. Entries associated with non-compliant posts may be disqualified.

Stage 7 — Winner documents

Winner notification letter:

Congratulations. You have been selected as a potential winner in the [Promotion Name], subject to verification of eligibility and compliance with the Official Rules.

Prize: [description], Approximate Retail Value $[amount].

What you must do. Complete, sign, and return the enclosed Affidavit of Eligibility, Liability Release, and Publicity Release, together with a completed IRS Form W-9, so that they are received by [date] — [n] days from the date of this notice. If your documents are not received by that date, or if you are found ineligible, the prize will be forfeited and an alternate winner will be selected.

Taxes. The prize is taxable income to you. Sponsor will issue an IRS Form 1099-MISC. All federal, state, and local taxes are your responsibility. [Sponsor is including a cash component of $[amount] intended to assist with the tax obligation; that amount is itself taxable.]

Affidavit of eligibility — the required affirmations:

  • Age and residency as of the entry date
  • Not an employee or immediate family member or household member of an excluded party
  • The entry was submitted by the affiant and is original
  • Compliance with the Official Rules
  • Acceptance of the prize as awarded, with no substitution
  • Acknowledgment of tax responsibility
  • Release of Sponsor and released parties from liability
  • Publicity release (except where prohibited by law)
  • Signature, date, and notarization if required

Disqualification notice:

Following review of entries in the [Promotion Name], Sponsor has determined that your entry does not comply with the Official Rules, specifically Section [], because [specific factual basis]. Accordingly, your entry has been disqualified and you are not eligible for a prize. Sponsor's decisions in all matters relating to this promotion are final and binding as provided in Section [] of the Official Rules.

Draft it from a rule provision and a fact. A disqualification with neither is not defensible.

Budget, timing, and the questions clients ask

Timeline. Six weeks from design to launch for a national purchase-linked promotion; four for a national free-entry promotion; one to two for a simple local giveaway.

Budget. Rules drafting and registration analysis $2,500–$7,500; state filings $200–$1,500; bond premium 1–3% of total prize value; administrator $3,000–$15,000; tax gross-up 25–35% of a large non-cash prize's ARV.

"What is the highest-value hour?" Computing total prize value and running the registration analysis, six weeks out. Every other problem in this area is fixable late; that one is not.

"And the highest-value sentence?" "NO PURCHASE NECESSARY. A purchase will not increase your chances of winning" — in the advertisement, not just the rules.
