Corporate

Corporate law for technology companies: formation and governance, financings, mergers and acquisitions, and the shareholder and governance disputes that follow, handled by attorneys who understand the IP and the product at the center of the deal.

Most of our corporate clients are companies whose value sits in intellectual property: software, data, brands, inventions, and the contracts that move them. That shapes how we practice corporate law. We form and structure the company, paper the financings, run and close acquisitions, and advise boards, with the IP and technology issues handled in the same room rather than farmed out to a separate team.

Formation, Governance, And Founders

We set up corporations and LLCs, draft operating and shareholder agreements, and build the founder documents that prevent later disputes: IP assignments, vesting, confidentiality, and the terms that govern what happens when a founder leaves. For operating companies we advise boards and officers on fiduciary duties, equity plans, and the governance questions that come with investors and growth.

Financings And Investment

From friends-and-family rounds through venture financings, we prepare and negotiate term sheets, stock purchase and investor rights agreements, convertible notes, and SAFEs. We clean up the cap table and the IP chain of title before investors look, because that is where diligence stalls and valuations get cut.

Mergers And Acquisitions

We represent buyers and sellers in technology acquisitions, asset sales, and strategic investments. We run diligence on the assets that actually drive the price, including patents, trademarks, software and open-source compliance, data and privacy practices, and key customer and licensing agreements, then draft and negotiate the purchase agreement, disclosure schedules, and transition arrangements.

Shareholder And Governance Disputes

When a deal or a boardroom relationship breaks down, our litigation practice handles it: shareholder and partnership disputes, fiduciary-duty claims, books-and-records demands, securities and shareholder litigation, and shareholder activism. Because the same attorneys handle the corporate work, we understand the documents in dispute and can advise early on whether to fight, settle, or restructure.

Fixed Prices Where The Work Is Predictable

Standard corporate documents and transactions are priced as flat fees in our catalog: formation packages, operating agreements, board consents, stock purchase agreements, and more, each with its scope, turnaround, and price stated up front. Open-ended work such as a contested acquisition or a governance dispute is scoped and estimated in writing before we begin.

Frequently asked questions

Both, and usually together. We form and structure companies, handle financings and acquisitions, and advise boards. Because our clients are technology companies, the corporate work almost always turns on IP ownership, licensing, and data, so one team handles all of it.

It depends on how you plan to raise money and pay people. Companies that expect venture investment or want to grant stock options usually form a Delaware C corporation. Smaller operating businesses and closely held companies often fit better as an LLC for tax flexibility and simpler governance. We walk through the trade-offs for your situation before you file anything.

Clean IP chain of title is the most common gap: every founder, employee, and contractor who wrote code or created content needs a signed assignment to the company. Unresolved equity promises, missing board approvals, and open-source license problems are the next most common. Fixing these before a round is far cheaper than negotiating around them during one.

Both. On the buy side we focus diligence on the assets that justify the price and draft protections for what we find. On the sell side we prepare the company so diligence goes quickly and the purchase price survives it.

We start with the governing documents and the facts, then advise on the realistic paths: negotiation, a buyout, mediation or arbitration, or litigation. Our litigation practice handles fiduciary-duty claims, books-and-records demands, and shareholder suits when a resolution cannot be reached.
